Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OphthoFlow AI website at ophthoflow.ai and the services we provide ("Services"). By accessing the website or using the Services — including receiving SMS appointment reminders enrolled through your eye care practice — you agree to these Terms.

1. Who we are

OphthoFlow AI ("OphthoFlow," "we," "us," or "our") is a product operated by Beyond The Checkout Inc., a Delaware corporation. Contact: support@ophthoflow.ai.

2. The Services

OphthoFlow provides AI-powered practice automation and patient engagement tools to ophthalmology practices, including — where enabled by the practice — SMS appointment reminders sent to patients who have opted in.

3. SMS messaging terms

• Frequency: you will receive up to four (4) messages per month relating to your appointments.
• Message and data rates: message and data rates may apply, depending on your mobile plan. Consult your carrier for details.
• STOP: reply STOP to any message to unsubscribe. We will send a single confirmation that you have been unsubscribed, and you will not receive further reminders unless you opt in again.
• HELP: reply HELP to any message for assistance. You may also contact us at support@ophthoflow.ai.
• Carriers: carriers (including T-Mobile, AT&T, Verizon, Boost, U.S. Cellular, MetroPCS, and others) are not liable for delayed or undelivered messages.
• Consent: your eye care practice collects your consent before enrolling you. See our SMS Consent page for the consent script and sample messages.

4. Eligibility and accounts

You must be at least 18 years old, or the parent/legal guardian of a minor, to consent to SMS reminders on behalf of a patient. The practice that enrolls a patient is responsible for verifying eligibility and obtaining appropriate consent.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt the Services, the servers or networks connected to the Services, or any policies or requirements of network providers.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Reverse engineer, decompile, or attempt to derive the source code of any software included in the Services.

6. Intellectual property

OphthoFlow, the OphthoFlow AI name and logo, and all content on ophthoflow.ai (including text, graphics, and software) are owned by or licensed to us and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the website for its intended purpose. All rights not expressly granted are reserved.

7. No medical advice

OphthoFlow supports practice operations and patient communications. The Services do not provide medical advice, diagnosis, or treatment. SMS reminders are informational and should not be used as a substitute for professional medical judgment. Always consult your eye care provider for medical questions.

8. Third-party services

The Services rely on third-party providers, including Twilio for SMS delivery and Amazon Web Services for hosting. We are not responsible for the acts or omissions of these third parties to the extent they operate outside our reasonable control.

9. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any given message will be delivered at a particular time.

10. Limitation of liability

To the fullest extent permitted by law, in no event will OphthoFlow, Beyond The Checkout Inc., or our affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our aggregate liability to you for any claim arising out of these Terms or the Services will not exceed one hundred U.S. dollars (US $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless OphthoFlow, Beyond The Checkout Inc., and our affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services.

12. Changes to the Services and Terms

We may modify the Services or these Terms at any time. We will post the updated Terms at this URL and update the "Effective date" above. Your continued use of the Services after the Terms are updated constitutes your acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
